Belo Horizonte, October 18, 2024 — Samarco Mineração S.A. – In Judicial Reorganization (“Samarco” or “Company”) announces that the discussions regarding the Renegotiation Agreement (“Agreement”) are progressing, with the objective of establishing the definitive framework for remediation and compensation actions related to the damages resulting from the Fundão dam failure. The agreement, under renegotiation, valued at approximately BRL 170 billion, will be signed by Samarco, Vale and BHP Brasil (“Shareholders”), the Federal Government, the State Governments of Minas Gerais (MG) and Espírito Santo (ES), the Federal Regional Court of the 6th Chamber (TRF6) and the Courts of Appeal of the State of Minas Gerais (MG), the Federal and State Public Prosecutors' Offices (MG and ES), and the Federal and State Public Defenders' Offices (MG and ES).
The Agreement under discussion establishes obligations for Samarco, as the primary liable party, including the transfer of funds to the government bodies and the direct execution of certain actions by the Company. Of the total amount, BRL 38 billion had already been allocated as of September 2024 for remediation and compensation actions carried out by the Renova Foundation. Additionally, BRL 132 billion will be allocated to future actions, as follows:
1) BRL 100 billion as obligations payable over the next 20 years to the Federal Government, the Minas Gerais and Espírito Santo governments, and the involved municipalities, with the objective of financing public policy actions coordinated by these government bodies;
2) BRL 32 billion as obligations to be performed under Samarco’s responsibility, which will support remediation and compensation actions related to cash compensation, resettlement, and environmental rehabilitation in Mariana (MG) and the Rio Doce watershed, which was impacted by the dam failure.
Samarco believes that all involved parties will reach a common agreement that directly benefits thousands of people and the environment, dozens of municipalities, the Federal Government, and the states of Minas Gerais and Espírito Santo.
Definitive Agreement
The negotiations are ongoing, and no final agreement has been signed. The Definitive Agreement depends on the formalization of terms and conditions and the final documentation, following the necessary approvals and signatures by the involved parties.
